These Terms & Conditions (“Terms”) govern your organization’s access to and use of Eufori Tex (web/mobile apps, admin portals, and related services) provided by Eufori Tech Private Limited (“Eufori Tech,” “we,” “us,” or “our”). By using Eufori Tex, you agree to these Terms on behalf of the organization you represent (“Customer”).

1) Acceptance & Eligibility

By creating an org, accessing Eufori Tex, or issuing a purchase order/subscription, you accept these Terms. You confirm you have authority to bind the Customer. Eufori Tex is intended for business use; you must comply with applicable laws.

2) Accounts, Roles & Access

Customer designates org admins who configure plants, roles, and permissions. Customer is responsible for (i) accuracy of onboarded worker data, (ii) safeguarding credentials and devices, and (iii) activity under its accounts, including access granted to managers, operators, and contractors.

3) Customer Data & Privacy

“Customer Data” includes org/plant details, memberships/roles, worker profiles, attendance/movement logs, production or operational inputs, and files you submit. Customer retains ownership of Customer Data. You grant Eufori Tech a non-exclusive license to process Customer Data solely to provide, secure, and improve Eufori Tex (including aggregate/anonymous analytics). Data handling is further described in our Privacy Policy and, where applicable, a Data Processing Addendum (DPA) between the parties.

4) Acceptable Use & Restrictions

  • No unlawful, harmful, or infringing use; no reverse engineering or attempting to bypass security/usage limits.
  • No uploading of malicious code; no interference with stability or other customers.
  • No unauthorized scraping, bulk extraction, or reselling of the Service.
  • You will provide legally sufficient notices to personnel whose data you input, and obtain/maintain any required consents.

5) Fees, Taxes & Payment

Fees, billing cycles, and payment method are as stated in your order/subscription or invoice. Amounts are exclusive of taxes; you are responsible for applicable taxes. Late amounts may incur interest and/or suspension. Except as required by law, fees are non-refundable unless otherwise agreed in writing.

6) Intellectual Property & Feedback

Eufori Tex, including software, designs, documentation, and underlying IP, is owned by Eufori Tech or its licensors. No rights are granted except as expressly stated. You may provide feedback; we may use it without restriction or obligation. Customer trademarks and logos remain Customer’s property; Customer grants Eufori Tech a limited right to display name/logo in client lists unless Customer opts out in writing.

7) Confidentiality

Each party will protect the other’s non-public information with reasonable care and use it only for the relationship under these Terms. This obligation does not apply to information that is public, independently developed, or lawfully obtained from a third party.

8) Third-Party Services & APIs

Eufori Tex may interoperate with third-party infrastructure or services you enable (e.g., databases, analytics, AI inference, identity). Your use of such third-party services is governed by their terms; we are not liable for third-party acts or omissions.

9) Service Availability, Support & Changes

Eufori Tex may evolve, including new or modified features, previews, or beta capabilities. Unless separately agreed (e.g., an Order Form/SOW), no specific SLA is provided. We may suspend the Service for security, maintenance, or misuse. We will use reasonable efforts to notify you of material changes that affect existing functionality.

10) Disclaimers & Warranties

EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT, EUFORI TEX AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY (INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT). Customer is responsible for how outputs, dashboards, or insights are used in operations and compliance.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY CUSTOMER FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12) Indemnification

Customer will defend and indemnify Eufori Tech against third-party claims arising from Customer’s (i) misuse of the Service, (ii) violation of law or third-party rights, or (iii) content or data provided to the Service. Eufori Tech will defend and indemnify Customer against third-party claims alleging that the Service, as provided, directly infringes a third-party IP right, except for claims arising from combinations or modifications not provided by Eufori Tech or from Customer’s breach of these Terms.

13) Suspension & Termination

We may suspend the Service immediately for security risks, non-payment, or suspected misuse. Either party may terminate for material breach if not cured within thirty (30) days of notice. Upon termination, Customer’s access ends; we will delete or return Customer Data per our Privacy Policy, backups, legal obligations, and any DPA. Accrued fees remain due.

14) Compliance, Export & Anti-Corruption

Each party will comply with applicable laws (including data protection and labor laws). Customer will not use the Service in prohibited jurisdictions or for prohibited end-uses under export-control/sanctions rules. Each party will comply with applicable anti-bribery and anti-corruption laws.

15) Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms or your use of Eufori Tex shall be subject to the exclusive jurisdiction of the competent courts at Coimbatore, Tamil Nadu, India.

16) General Terms

  • Force Majeure: Neither party is liable for delays or failures due to events beyond reasonable control.
  • Assignment: Neither party may assign these Terms without the other’s consent, except to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Notices: Legal notices must be sent to the addresses provided by the parties (electronic notices permitted where lawful).
  • Severability & Waiver: If a provision is unenforceable, the remainder remains in effect. Failure to enforce is not a waiver.
  • Entire Agreement; Order of Precedence: These Terms, together with any mutually signed Order Form/SOW and our Privacy Policy, form the entire agreement regarding Eufori Tex and supersede prior understandings on the subject.

17) Changes to Terms

We may update these Terms to reflect operational or legal changes. Continued use after changes constitutes acceptance.
